Completes Restructuring; Expands Management Team; Announces New Corporate Location

Rolling Meadows, IL, June 18, 2001-Home Safeguard Industries, LLC, a world leader in the manufacture and distribution of testing products for fire and safety systems announced today that it has restructured the Company and expanded the executive management team in order to position itself for future growth.

The recapitalization was led by Medinah Partners, LLC, a Chicago based private equity venture group as well as by the Company's executive management team. Medinah Partners will join the Company's Board of Advisors and provide ongoing strategic and financial management consultation to the Company.

Leon Cooper, the Company's founder and inventor of it's flagship brand…Smoke Detector Tester…will continue to serve as a Director of Home Safeguard Industries, LLC's Advisory Board and will maintain a significant role in defining the Company's strategic plans and objectives as well as the identification of new market opportunities.

Scott Pyle has been appointed President & CEO. With 18 years of consumer and industrial product sales, marketing and operations experience, Mr. Pyle will lead Home Safeguard Industries, LLC's strategic growth initiatives and champion its commitment to customer service and new product development. He will also direct the sales and marketing efforts to increase the Company's commercial and consumer brand franchise worldwide.

David Lobes has been appointed Chief Financial Officer & General Business Manager. Mr. Lobes brings over 20 years of management experience specializing in corporate accounting and manufacturing operations. He will oversee the daily financial and manufacturing operations of the Company.
